Terms of Service

These terms govern your use of the Verificate website, accounts, the Verificate MCP validation service, and any Verificate-hosted endpoints (the “Services”), provided by Verificate Pty Ltd (ACN 681 762 818). By creating an account or using the Services, you agree to these terms.

1 · Accounts

You must provide accurate details and keep your credentials secure. You are responsible for activity under your account. API keys are single-user: they must not be shared, resold, or used from multiple parties simultaneously. We may rate-limit, suspend, or revoke keys that show sharing or abuse.

2 · Trials & subscriptions

  • The Verificate MCP service includes a 30-day free trial. After the trial, continued access requires a paid subscription.
  • The subscription is US$30/month (a launch discount of 50% for the first three months may apply). Prices are exclusive of applicable taxes.
  • Billing is processed by Stripe. Subscriptions renew monthly until cancelled; you may cancel at any time, effective at the end of the current period. Fees already paid are non-refundable except where required by law.
  • Access ends automatically when a trial expires or a subscription lapses.

3 · Acceptable use

You agree not to misuse the Services, including: attempting to circumvent security, rate limits, or key controls; reselling access without authorisation; using the Services to build a competing product from our confidential materials; or using them unlawfully. The public HELIX inference endpoint is provided openly for evaluation and may be rate-limited or changed.

4 · Intellectual property

Verificate and its licensors own all rights in the Services, software, models, documentation, and the Verificate™ and HELIX™ marks. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. Licensed deployments are governed by a separate written agreement.

5 · Confidentiality

Materials shared under NDA (including benchmark reports and the evidence dossier) remain confidential and may not be disclosed or published without our written consent.

6 · Disclaimers

The Services and website are provided “as is” without warranties of any kind. Benchmark and research results depend on configuration and are not a guarantee of performance in your environment. Roadmap statements are forward-looking (see Legal).

7 · Limitation of liability

To the maximum extent permitted by law, Verificate is not liable for indirect, incidental, or consequential loss, and our total liability for any claim is limited to the fees you paid for the Services in the 12 months before the claim. Nothing in these terms excludes rights that cannot be excluded under the Australian Consumer Law.

8 · Governing law

These terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of its courts. We may update these terms; continued use after changes constitutes acceptance.
